Terms of trade

The following conditions apply to any agreement entered into with The Online Gurus.

1. General

1.1.

These Terms apply to any agreement entered into with The Online Gurus. The customer accepts all the conditions described in this document and the applicable legislation.

In the event of a conflict between the terms and the basis of the agreement, the terms of the basis of the agreement shall prevail. These conditions may only be waived by written agreement between the Parties.

1.2.

Unless otherwise stated, all prices are quoted in Danish kroner, excluding VAT. All amounts must be paid/transferred in Euro according to the conclusion of the contract.

1.3.

Unless otherwise agreed, The Online Gurus reserves the right to use the customer as a reference in connection with sales material. This includes marketing material, website and enquiries.

1.4.

The Online Gurus is entitled to assign its rights and obligations under the Terms and the Agreement to third parties in the event of a sale, merger, demerger or other transfer of all or part of The Online Gurus’ business without obtaining the Customer’s consent.

2. Price and payment terms

2.1

All products are invoiced in advance on the day of the contract. The ongoing optimisation is invoiced either monthly, quarterly, semi-annually or annually in advance depending on the product type and agreement. All prices exclude advertising costs. We reserve the right to change our prices and agreements, as well as all current invoices with current month + 30 days notice due to the general price development, inflation, force majeure and other economic conditions that may exist in the market and which may influence the performance of our work.

2.2.

Payment must be made within the agreed payment period, which is generally 5 days after the invoice is issued. The first invoice will be sent when both parties have accepted the agreement by electronic mail, including prices and a link to this agreement. All invoices will be sent and paid via Stripe Payment Gateway for payment in EUR by credit/debit card and all future services contracted will be deducted automatically thereafter. We invoice through the Stripe payment platform via credit card.

2.3.

If payment is not received on time, The Online Gurus reserves the right to suspend any services. At the same time, up to three reminders are issued, including a reminder fee of DKK 100 per reminder. In addition, default interest will be added per month started (adjusted according to the official default interest rate of the National Bank).

In the event of non-payment, the outstanding amount is transferred to our partner, who handles the reminder process and subsequent collection.

2.4.

When purchasing services from The Online Gurus, there is no right of withdrawal, as the service cannot be returned. See Article 20(3) of the Consumer Contract Act (2).

3. Duration and termination

3.1.

A subscription is binding from the date specified in the associated agreement or invoice. After the commitment period, the agreement can be terminated with a current month +30 days notice prior to the cut-off date of the agreement defined in the original contractual basis or invoice. Example: If your contract period runs from d. 15. to d. 15th of each month, then the agreement can be terminated with the current month +30 days notice before d. 15 in a given month.

3.2.

The customer may terminate the subscription agreement at any time, but must continue to pay until the end of the commitment period.

3.3.

The Online Gurus reserves the right, at any time and with immediate effect, to cancel an agreement and thereby close a customer’s activities, if there are arguments or evidence that the customer has breached this agreement. In this case, the customer remains liable to pay for the entire agreed period.

3.4.

The Agreement may not be transferred, sold or otherwise assigned by the Customer to any third party without the express written consent of The Online Gurus.

4. Responsibility

4.1.

Any claim for damages against The Online Gurus can never exceed the invoice amount for the service provided. The Online Gurus is not liable for operating losses, loss of profit or other indirect losses in connection with the agreement on the service, including indirect losses arising from delay or defects in the service provided.

4.2.

The Online Gurus shall not be liable for the following circumstances: force majeure, including power failure, telecommunication failure, fire, smoke damage, explosion, water damage, vandalism, burglary, terrorism, sabotage, strike, lockout, boycott, blockade or other circumstances beyond the control of The Online Gurus, which The Online Gurus could not reasonably have foreseen at the time of the conclusion of the contract.

4.3.

The Online Gurus has the right within 14 days to attempt to remedy any defects or deficiencies in the services provided. If this fails, the price may be reduced proportionally, but never by more than the amount originally invoiced.

5. Applicable law and jurisdiction

5.1.

Disputes may be brought before the ordinary courts by either party in accordance with the rules in force.
